Terms of Service

These terms govern your use of the Texhub platform. Please read them carefully — by creating an account or using the service, you agree to them.

TRM-01Who we are

The Texhub platform (texhub.ai and its subdomains, the “Service”) is operated by Texhub LLC, a limited liability company with its registered address at 82 Wendell Ave. STE 100, Pittsfield, MA 01201, USA (“Texhub”, “we”, “us”). You can reach us at admin@texhub.ai.

TRM-02What the Service is

Texhub is a sourcing platform for the apparel industry. Brands turn design specifications into structured requests for quotation (RFQs); Texhub matches those RFQs to vetted manufacturers (“factories”); factories submit quotes; brands compare quotes and award orders; both sides communicate and track orders on the platform. Related tools — such as the AI design Studio for creating tech packs — are part of the Service.

The Service is intended for business use. By using it you confirm you are acting in the course of a trade or business, are at least 18 years old, and have authority to bind the business you represent.

TRM-03Texhub is an intermediary — your transactions are your own

Texhub provides the venue, tooling, and introductions. We are not a party to, guarantor of, broker of, or agent in any transaction between a brand and a factory. Any contract for the manufacture, sale, or delivery of goods is formed solely between the brand and the factory concerned, on whatever terms they agree between themselves.

Accordingly, and to the maximum extent permitted by law, Texhub assumes no responsibility or risk for: the quality, safety, legality, or conformity of any goods; the accuracy of any listing, quote, certification, or statement made by a user; the performance, solvency, or conduct of any counterparty; payment, non-payment, or payment terms between users; shipping, customs, or delivery; or any loss — including loss caused by fraud, misrepresentation, or scams by another user. If you are harmed in a transaction, your recourse is against your counterparty, not Texhub.

We provide a number of safeguards (Section 04) and a Safer Sourcing Guide (Section 05) to help you transact more safely. These reduce risk; they do not remove it, and they do not transfer it to Texhub. You transact at your own risk and are responsible for your own due diligence on every counterparty and every order.

TRM-04Safeguards we provide

We invest in features designed to make sourcing on Texhub materially safer than sourcing over email and spreadsheets:

  • Factories are reviewed and approved by our team before they can receive RFQs or quote.
  • Compliance documentation (certifications, audit records) is surfaced on factory profiles where provided.
  • Quotes are structured and versioned — every revision of price, MOQ, and lead time is recorded.
  • Messaging and order status changes happen on-platform, creating a written audit trail.
  • Contact details are kept private between counterparties and shared only as the platform is designed to.

These safeguards are provided “as is”, without any warranty. Vetting a factory is not an endorsement, a guarantee of performance, or a substitute for your own checks.

TRM-05Safer Sourcing Guide

Practical guidance we strongly recommend for every order, especially with a new counterparty:

  • Sample first. Never place a production order without an approved physical sample.
  • Start small. Keep first orders at or near the minimum order quantity until a factory has proven itself to you.
  • Verify independently. Certifications and audit documents can be checked with the issuing body — do it for anything you rely on.
  • Keep it on-platform. Conduct negotiations and confirmations through Texhub messaging so there is a record if something goes wrong.
  • Pay defensively. Prefer protected payment methods (letters of credit, escrow, staged milestone payments). Be suspicious of requests to pay outside agreed terms, to new bank accounts, or under time pressure.
  • Trust the process, not promises. If a deal only works when you skip a safeguard, walk away.

This guide is provided for information only. Following it — or not following it — does not change Section 03: responsibility for each transaction rests with the parties to it.

TRM-06Accounts

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account. Notify us immediately at admin@texhub.ai if you suspect unauthorised access. We may suspend or refuse accounts at our reasonable discretion, including where we suspect fraud or misuse.

TRM-07Acceptable use

You agree not to:

  • misrepresent your identity, business, products, capabilities, or certifications;
  • use the Service for any unlawful purpose, including sourcing goods that infringe third-party rights or violate applicable law;
  • attempt to defraud, deceive, or harm other users;
  • circumvent the platform to avoid its rules once introduced to a counterparty through it, misuse contact information, or scrape or harvest data;
  • interfere with the Service’s operation or security, or access it by automated means except through interfaces we provide.

We may remove content, withhold matches, or suspend or terminate accounts that violate this section.

TRM-08Fees and payment

Access to the Service is sold by subscription, and certain actions (such as submitting quotes) consume credits included with, or purchased in addition to, a subscription. Current prices are listed on our pricing page and may change with notice. Optional add-ons may be offered separately. Payments are processed by our payment provider; prices exclude applicable taxes unless stated.

Credits have no cash value, are not transferable, and are consumed when used. Refunds are governed by our Refund Policy.

TRM-09Your content and our IP

You retain ownership of the content you upload (designs, tech packs, RFQs, quotes, messages). You grant Texhub a worldwide, non-exclusive licence to host, process, display, and transmit that content as needed to operate the Service — including sharing RFQ content with matched factories and quotes with the requesting brand. You are responsible for having the rights to everything you upload.

The Service itself — software, design, branding, and all associated IP — belongs to Texhub LLC or its licensors. No rights are granted except the limited right to use the Service under these terms.

TRM-10Disclaimer of warranties

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that the Service will be uninterrupted, error-free, or secure, that matches will be suitable, or that any user is who they claim to be.

TRM-11Limitation of liability

To the maximum extent permitted by law: (a) Texhub will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data; (b) Texhub will not be liable for any loss arising out of a transaction between users, or out of the acts or omissions of any user — including fraud — as described in Section 03; and (c) Texhub’s total aggregate liability arising out of or relating to the Service will not exceed the fees you paid to Texhub in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limits; in those jurisdictions these limits apply to the fullest extent permitted.

TRM-12Indemnification

You will indemnify and hold harmless Texhub LLC and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your transactions with other users, or your breach of these terms or applicable law.

TRM-13Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access for breach of these terms, suspected fraud, legal risk, or extended non-payment. Sections that by their nature should survive (including 03, 09–12, and 15) survive termination.

TRM-14Changes to the Service or these terms

We are building quickly; features may change, be added, or be withdrawn. We may update these terms from time to time — material changes will be notified on the platform or by email, and the “last updated” date above will change. Continued use after a change takes effect constitutes acceptance.

TRM-15Governing law and venue

These terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict-of-law rules. The state and federal courts located in Massachusetts have exclusive jurisdiction over disputes arising out of these terms or the Service, and each party consents to their jurisdiction. Nothing in this section deprives you of mandatory protections of the law of the country where you reside.
